Triumph Terms of Service

PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR USING THE SERVICES, OR BY SELECTING A BUTTON, CHECKBOX, OR OTHER ACCEPTANCE METHOD WHEN PRESENTED, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES. THESE TERMS INCLUDE IMPORTANT PROVISIONS ABOUT CHANGES TO THESE TERMS, WARRANTIES, LIABILITY, JURY TRIALS, AND CLASS ACTIONS.
1. Who These Terms Cover
These Terms of Service (“Terms”) apply to anyone who visits or uses Triumph’s websites, portals, mobile applications, and other Services, including public website visitors. Certain capitalized terms are defined below.
“Triumph” means Triumph Financial, Inc. and the subsidiaries and affiliates that operate or provide a Service, including TBK Bank, SSB. Triumph Financial, Inc. is a financial holding company, and TBK Bank, SSB is its wholly owned bank subsidiary. TBK Bank, SSB may provide services under the Triumph, TBK Bank, Triumph Bank, or other brand names. Other Triumph entities may provide products or services as identified on the applicable Service or in applicable Additional Terms.
These Terms are between you and the applicable Triumph entity or entities that operate or provide the Service you use. Each Triumph entity is responsible only for the Services it operates or provides, unless applicable Additional Terms state otherwise. “We,” “us,” and “our” mean the applicable Triumph entity or entities. “You” and “your” mean the person using a Service and, when that person acts for a business or other organization, also include that business or organization.
“Services” means the public and restricted-access websites, webpages, subdomains, portals, mobile applications, software, APIs, online tools, communications features, content, functionality, and other technology-enabled experiences operated or provided by or on behalf of Triumph that make these Terms available.
“Additional Terms” means any other agreement, addendum, schedule, order form, application, disclosure, notice, consent, authorization, program terms, product terms, service terms, account terms, rules, policy, or other terms that apply to a particular relationship, account, product, service, feature, transaction, promotion, communication, or activity, regardless of title or form.
2. Accepting These Terms and Other Terms That May Apply
These Terms apply whenever you access or use the Services, including Triumph’s publicly available websites and content. They also apply when you download a Triumph application, create an account, sign in, or use an authenticated Service.
By accessing or using a Service, you accept and agree to be bound by these Terms. We may also ask you to confirm your agreement using an electronic acceptance method. If we present one, your selection confirms your agreement and may constitute your electronic signature. If you do not agree, do not access or use the Services.
Our Privacy Policy explains how we collect, use, share, and otherwise process personal information in connection with the Services. An additional privacy notice may apply to a particular Service. Please review the Privacy Policy and any applicable privacy notice for more information.
Some products, accounts, features, transactions, promotions, or communications may have Additional Terms, including separate SMS Terms. Those Additional Terms work together with these Terms. If they conflict, the Additional Terms control only for the subject they specifically cover. If no Additional Terms apply, these Terms govern your access to and use of the Services.
3. Who May Use the Services
You must be at least 18 years old and legally able to agree to these Terms. If you access or use a Service on behalf of a business or other organization, you confirm that you have authority to act for and bind that organization.
Eligibility requirements, permitted uses, and other restrictions for a particular account, product, service, feature, or transaction may be stated in applicable Additional Terms. You may access and use the Services only as permitted by these Terms, applicable Additional Terms, and applicable law.
4. Changes to These Terms or the Services
WE MAY CHANGE, ADD TO, OR REMOVE PARTS OF THESE TERMS AT ANY TIME IN OUR SOLE DISCRETION. CHANGES WILL BE EFFECTIVE WHEN POSTED OR ON ANY LATER DATE WE STATE. YOU ARE RESPONSIBLE FOR REVIEWING THE CURRENT TERMS. BY CONTINUING TO ACCESS OR USE AN AFFECTED SERVICE AFTER CHANGES TAKE EFFECT, YOU ACCEPT THE REVISED TERMS. WE MAY REQUIRE YOU TO ACCEPT REVISED TERMS BEFORE CONTINUING TO USE A SERVICE. IF YOU DO NOT AGREE, YOU MUST STOP USING THE AFFECTED SERVICES. WE WILL PROVIDE NOTICE OR OBTAIN CONSENT TO THE EXTENT REQUIRED BY APPLICABLE LAW.
We may add, change, limit, suspend, withdraw, or discontinue any Service or feature at any time, with or without notice. We are not liable for doing so except to the extent applicable law or Additional Terms provide otherwise.
5. Accounts and Security
You must provide accurate, current, and complete information and update it when it changes. Use only credentials assigned to you. Keep usernames, passwords, passkeys, authentication codes, and other credentials confidential. Protect the devices, networks, and systems you use to access the Services. Notify Triumph promptly through the contact method provided for the applicable Service if you know or reasonably suspect that your account or credentials have been accessed, compromised, or used without authorization.
Do not share credentials, allow an unauthorized person to use your account, bypass authentication or access controls, or access another person’s account. You are responsible for activity through your account to the extent allowed by law and applicable Additional Terms. Triumph may require additional authentication, reset credentials, or restrict access to protect the Services or users.
If you manage access for an organization, you are responsible for assigning appropriate roles and permissions, removing access promptly when a person is no longer authorized, and helping ensure that authorized users follow these Terms and applicable Additional Terms.
6. Using Triumph’s Services and Content
Subject to these Terms and any applicable Additional Terms, Triumph gives you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended business or informational purpose.
Triumph or its licensors own the Services, including their software, interfaces, workflows, designs, text, graphics, audio, video, databases, compilations, trademarks, names, logos, and other content. Intellectual property and other proprietary rights laws protect these materials. Except for the limited right stated above, these Terms do not transfer any right, title, or interest to you. Triumph and its licensors reserve all rights not expressly granted.
7. Acceptable Use
You may not, and you may not help or allow anyone else to: (a) use a Service unlawfully, fraudulently, deceptively, or in violation of another person’s rights; (b) impersonate another person or misrepresent identity, affiliation, authority, or the source of information; (c) access or attempt to access accounts, systems, networks, data, or nonpublic areas without permission; (d) probe, scan, or test vulnerabilities without written authorization; (e) disable, bypass, defeat, or interfere with authentication, security, rate limits, technical controls, or operations; (f) introduce malicious code or conduct denial-of-service activity; (g) reverse engineer, decompile, disassemble, or attempt to derive source code, except where applicable law prohibits that restriction; (h) rent, lease, sublicense, sell, redistribute, provide service-bureau access to, or commercially exploit a Service except as expressly authorized; (i) remove or alter proprietary notices; or (j) use a Service in a manner that could harm Triumph, its affiliates, customers, users, systems, reputation, or legal rights.
Unless Triumph gives prior written permission or provides an authorized API, you may not use any robot, spider, scraper, crawler, automated agent, browser automation, or manual process to systematically access, monitor, copy, index, harvest, or extract content or data. You may not use Service content, data, outputs, access, or nonpublic functionality to train, fine-tune, test, benchmark, evaluate, or improve a machine-learning or artificial-intelligence model. Public search engines may index publicly available portions of the Services only as permitted by Triumph and subject to any conditions or restrictions Triumph establishes.
You may provide information, documents, data, instructions, or other materials through a Service only if you have the rights, permissions, notices, consents, and authority needed to do so. You may not provide anything that violates applicable law, contract, confidentiality obligations, or another person’s rights. You may submit or process regulated, restricted, confidential, or sensitive information only through features designed and authorized for that information and in accordance with applicable Additional Terms.
You may not export, re-export, transfer, or use a Service in violation of export-control, sanctions, anti-boycott, or other trade laws.
8. Feedback
If you provide suggestions, ideas, or other feedback about the Services, Triumph may use that feedback for any purpose without restriction or compensation. This section does not give Triumph rights in your confidential information.
9. Privacy and Service Monitoring
Our Privacy Policy explains how we collect, use, share, and otherwise process personal information in connection with the Services. An additional privacy notice may apply to a particular Service. Please review the Privacy Policy and any applicable privacy notice for more information.
Triumph may monitor, log, analyze, and record access to and use of the Services for security, fraud prevention, compliance, support, analytics, service operation and improvement, and other purposes described in the Privacy Policy or an applicable privacy notice or permitted by law.
10. Electronic Actions and Communications
Your electronic acceptance, signature, or other electronic action may have the same legal effect as a handwritten signature to the extent permitted by law.
Triumph may provide communications electronically through the Services, by email, or using other electronic contact information you provide. A separate E-Sign consent or applicable Additional Terms may govern the electronic delivery of particular records, notices, or disclosures. If so, those terms control.
11. Information on the Services
Public and informational content is provided for general information. Unless applicable Additional Terms expressly say otherwise, content is not legal, tax, accounting, investment, lending, credit, transportation, compliance, or other professional advice. It is not an offer, commitment, guarantee, or recommendation.
Data, analytics, automated outputs, estimates, scores, benchmarks, forecasts, and third-party information may be incomplete, delayed, or inaccurate and may not reflect your circumstances. You are responsible for your decisions. You should independently verify information and consult appropriate advisers. Past or modeled results do not guarantee future results.
12. Links and Third-Party Services
The Services may link to, connect with, or make available websites, data, software, products, or services provided by third parties. Triumph does not control and is not responsible for third-party services, content, availability, security, privacy practices, or terms. A link or integration does not mean Triumph endorses the third party. Your use of a third-party service is subject to the third party’s terms.
13. Mobile Apps and App Marketplaces
If you obtain a Triumph mobile application through an app marketplace, the marketplace provider is not a party to these Terms and is not responsible for the application, its content, maintenance, support, or related claims, except as required by the marketplace’s terms. Your use of the application is also subject to the marketplace’s usage rules.
For an application obtained through the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, may enforce the provisions that apply to the application. Triumph, not Apple, is responsible for the application and for addressing related claims, subject to these Terms and applicable law.
14. Suspension
Triumph may suspend, restrict, or end access if it reasonably believes the action is necessary to protect a Service or any person; address suspected fraud, security risk, or illegal activity; comply with law, legal process, a regulator, or applicable network requirements; respond to a breach of these Terms or Additional Terms; or discontinue a Service.
15. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, DATA, OUTPUTS, AND THIRD-PARTY MATERIALS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” TRIUMPH AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, RELIABILITY, AVAILABILITY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TRIUMPH DOES NOT WARRANT THAT A SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL CODE, OR COMPATIBLE WITH YOUR SYSTEMS; THAT DEFECTS WILL BE CORRECTED; OR THAT CONTENT, DATA, ANALYTICS, OR RESULTS WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSE. THESE DISCLAIMERS DO NOT APPLY TO WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED OR TO EXPRESS WARRANTIES IN APPLICABLE ADDITIONAL TERMS.
16. LIMITS ON LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIUMPH TOGETHER WITH THEIR AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, USE, OR DATA; COST OF SUBSTITUTE SERVICES; OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) FEES YOU PAID TO THE TRIUMPH ENTITY PROVIDING THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THIS CAP DOES NOT CHANGE A DIFFERENT LIABILITY ALLOCATION IN APPLICABLE ADDITIONAL TERMS AND DOES NOT APPLY WHERE LAW PROHIBITS THE LIMITATION. THE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
17. Your Responsibility for Certain Claims
To the extent permitted by law, you will indemnify and hold harmless the applicable Triumph entities and their affiliates, officers, directors, employees, and agents from third-party claims, damages, judgments, penalties, fines, costs, and reasonable attorneys’ fees arising from: (a) your unauthorized, unlawful, fraudulent, or improper use of a Service; (b) information, materials, or instructions you provide that violate applicable law or another person’s rights; (c) your material breach of these Terms; or (d) acts or omissions of persons you authorize to use your account. This obligation does not apply to the extent applicable Additional Terms provide otherwise.
18. Texas Law, Courts, Jury Trial, and Class Actions
These Terms and any dispute arising from or relating to them or the Services are governed by Texas law, without regard to choice-of-law rules. The state and federal courts located in Dallas County, Texas have exclusive jurisdiction, and each party agrees to personal jurisdiction and venue there.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION.
If this waiver is found unenforceable for a particular claim or remedy, that claim or remedy may proceed only to the extent required by applicable law.
Nothing prevents either party from seeking temporary, preliminary, or permanent injunctive or equitable relief to protect credentials, systems, confidential information, intellectual property, data, or security.
19. Notices
A Triumph entity may provide notices through a Service, your account, email, mobile number, mailing address, or another reasonable electronic method. You are responsible for keeping your contact information current. Legal notices under these Terms must be sent to the Triumph entity identified on the applicable Service or in applicable Additional Terms. If no entity-specific notice address is provided, send the notice to: TBK Bank, SSB, Attn: Legal Department, 12700 Park Central Drive, Suite 1700, Dallas, Texas 75251, with a copy to legal@tfin.com. Notices under applicable Additional Terms must follow those terms.
20. Other Legal Terms
You may not assign these Terms or your rights or obligations under them without Triumph’s prior written consent. Triumph may assign these Terms to an affiliate or in connection with a merger, reorganization, sale of assets, or similar transaction.
Triumph’s failure to enforce a provision is not a waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
Triumph is not liable for delay or failure caused by events beyond its reasonable control. Except for Apple and other app marketplace providers as expressly stated, there are no third-party beneficiaries.
21. Entire Agreement
If no Additional Terms apply to you, these Terms are the entire agreement between you and the applicable Triumph entity or entities regarding your access to and use of the Services. If Additional Terms apply, these Terms and the applicable Additional Terms together govern the relevant relationship, account, product, service, feature, transaction, communication, or activity. Additional Terms control only to the extent of a conflict and only for the subject they specifically cover.
